Artist Display Agreement
The fine print, in plain English
This agreement is made between Abi's Book Cafe LLC (dba Abi's Books & Brews), located at 1212 ½ W Cary, Richmond, VA 23219 (the "Cafe"), and you (the "Artist"). It constitutes the full agreement and understanding and cannot be amended except by written instrument signed by both parties. Submitting the form below with your typed signature is your electronic signature.
1. Purpose
The purpose of this agreement is to outline the terms for the display and potential sale of your artwork at the Cafe.
2. Term of Display
Artwork will be displayed for a period of 60 days, with a start and end date confirmed before installation. At the conclusion of this period, extensions can be discussed based on performance, availability, and other artists' requirements and schedule. If no extension is offered in writing, the Artist has seven (7) days to retrieve their artwork. Unless other arrangements are made, unclaimed artwork after this period may be deemed abandoned.
3. Responsibility for Artwork
The Cafe will take reasonable precautions to protect the artwork, including general monitoring during operating hours with the building alarmed after hours. The Artist acknowledges that the Cafe is not responsible for theft, damage, or loss of the artwork, and the Artist displays their work at their own risk.
4. Payment and Sales
The Artist has two options for handling sales of their artwork. Artist-Handled: the Artist's contact information (phone, email, website) will be displayed alongside the artwork, including a QR code. The Cafe is not involved in the sales process and retains no portion of the sale price. Cafe-Handled: the Cafe retains a 15% commission from each sale, is responsible for credit card processing fees, and facilitates payment of sales tax. Payment to the Artist is issued within three (3) days after the sale, minus the agreed-upon commission. Pricing is mutually agreed upon before display.
5. Installation and Removal
The Artist is responsible for delivering, installing, and removing the artwork at the agreed times. The Cafe will provide display space but is not responsible for providing specific hanging or installation equipment beyond what is typically available.
6. Promotion
The Cafe may use images of the displayed artwork for promotional purposes, including social media, with appropriate credit given to the Artist. The Artist retains copyright ownership of their artwork.
7. Indemnification
The Artist agrees to indemnify and hold harmless Abi's Books & Brews from any claims, damages, or liability arising out of the display or sale of the artwork.
8. Agreement and Termination
Either party may terminate this agreement with one (1) day's written notice. Upon termination, the Artist must promptly remove their artwork.
